Master Product Agreement (Updated)

This Master Product Agreement (“Agreement”) outlines the terms under which ALTA TECHBIZ (RRRA’S ALTA TECHBIZ LLP) (“Party A”) provides products and services to the purchaser (“Client” or “Party B”).

This Agreement supersedes any prior agreements, including earlier versions (not disclosed here).

 

1. Scope of Products & Services

This Agreement applies to all offerings available on www.altatechbiz.com, including but not limited to:

  • Software applications

  • Digital photographs

  • Food / snack products

  • Hardware products

  • Digital Academy courses (Live & Non-Live)

  • Consulting services

  • Any related digital or physical artifacts

(All collectively referred to as “Product”)

2. Engagement Intent

  • Party B agrees to purchase Products at their own discretion

  • Party A agrees to provide Products/services at mutually agreed pricing

3. Pricing & Payment

  • Products are offered at predefined or mutually agreed prices

  • Payment may be prepaid or postpaid, depending on agreement

  • Party A reserves the right to modify pricing and terms at any time without prior notice

4. Confidentiality

“Confidential Information” includes (but is not limited to):

  • Product designs, software, and methodologies

  • Technical processes and development approaches

  • Business operations, pricing, and customer data

Obligations:

  • Party B shall not disclose, reuse, or distribute such information without written consent

  • Resale of Products or confidential material is not authorized unless explicitly permitted

  • This Agreement and associated Products are deemed confidential

5. Warranty Disclaimer

Party A expressly disclaims all warranties, including:

  • Express

  • Implied

  • Statutory

All Products and services are provided “as is”.

6. Limitation of Liability

  • Party A’s total liability shall be nil for any damages arising from Product usage

  • Party A shall not be liable for:

    • Loss of profits

    • Data loss

    • Indirect or incidental damages

  • No claims shall extend to personal or business assets of Party A

  • No refunds shall be provided under any consequential circumstances

7. Product Usage & Limitations

Digital Products & Courses

  • Courses may undergo updates; older versions may be retired

  • Users are advised to complete courses within a reasonable timeframe

  • Courses may be non-downloadable

  • Issue resolution will be attempted but not guaranteed

Software Products

  • Future versions may be chargeable

  • Existing versions remain valid under original conditions

8. Service & Consulting Disclaimer

  • Consulting and training provide guidance only

  • Final decisions remain with Party B

  • Party A is not liable for outcomes or consequences

9. Scheduling & Changes

  • Live sessions (consulting/training) are scheduled at Party A’s discretion

  • Party A may reschedule or cancel sessions with reasonable notice

10. Training Limitations

  • Hands-on sessions may include:

    • Screenshots

    • Conceptual walkthroughs

    • Simulated explanations

Actual tool usage may not always be demonstrated.

11. Digital Photos Usage

  • Permitted for personal and commercial use

  • Attribution is not mandatory

  • Reselling is not permitted unless explicitly authorized

  • Terms & Conditions always prevail

12. General Disclaimers

  • Party A is not responsible for:

    • Product performance issues

    • Temporary or permanent outages

    • Misrepresentation in micro-blogs or content variations

  • Products are tested but no guarantees are provided

13. Safety Advisory

Customers are advised to:

  • Follow all safety precautions while using Products/services

  • Ensure responsible usage

Party A is not liable for any adverse consequences.

14. Platform & Performance

  • Service interruptions may occur

  • Fixes will be attempted where possible

  • Resolution is subject to feasibility and discretion of Party A

15. Policy Supremacy

  • Website descriptions, instructions, and policies apply alongside this Agreement

  • Party A reserves the right to modify terms at any time without notice

  • Purchase implies acceptance of all terms

16. Jury Trial Waiver

Both parties waive any right to trial by jury for disputes arising under this Agreement.

17. Final Declaration

By purchasing any Product or Service:

  • Party B confirms:

    • Full understanding and acceptance of all terms

    • No intent for legal escalation

    • Willingness to resolve disputes amicably

  • Agreement is automatically binding upon purchase

  • No additional signature is required

18. Business Structure Disclosure

  • Party A operates as a micro/small business entity

  • Party A may not be GST registered

  • Purchase decisions are at Party B’s discretion

19. Final Authority

All decisions made by ALTA TECHBIZ (Party A) shall be considered final in all circumstances.

20. Governing Law

This Agreement is governed by the laws of:

Tamil Nadu, India

Jurisdiction:
Chennai, Tamil Nadu courts

21. Execution

This Agreement is deemed effective from the date of Product purchase.

  • Typical response time: within 24 business hours (may vary based on availability)

Important Notes:

  • Issue analysis will be conducted before resolution

  • Repair, parts, shipping, or service costs may be borne by the customer depending on the case

  • All cases are handled as per internal policy; decisions are made accordingly

Liability:

ALTA TECHBIZ is not liable for any loss or damage arising from the use of products or services.

Ownership and succession shall pass to legal heirs in case of unforeseen circumstances.

L. Food Product Disclaimer

  • ALTA TECHBIZ is FSSAI certified and follows safety practices

  • However, no liability is assumed for any adverse effects arising from consumption

  • Independent laboratory testing may not have been conducted for all products

M. Payments

  • Payments are currently accepted via manual process only

  • Customers must:

    1. Submit the relevant request/order form

    2. Receive payment instructions

  • Payments made without following this process are not the responsibility of ALTA TECHBIZ

Shipping Details

Payment Terms

For Long-Term Projects:

  • Partial advance payment (as mutually agreed)

1. Parties

This Master Services Agreement (“Agreement”) is entered into between:

2. Purpose & Scope

This Agreement governs the terms under which Party A provides services and/or products to Party B.

It establishes a standard framework for future engagements, including multiple projects under separate Statements of Work (SOWs).

3. Intent of the Parties

Both parties agree to:

  • Maintain clear communication

  • Provide timely updates on risks or challenges

  • Collaborate in good faith to ensure project success

4. Statements of Work (SOW)

  • Each engagement will be defined in a separate SOW

  • SOW forms an integral part of this Agreement

  • Both parties must sign the SOW before execution

Client Responsibilities:

Party B shall provide reasonable access to:

  • Personnel

  • Documentation

  • Systems and tools

  • Facilities (if applicable)

5. Changes to Scope

  • Any changes to scope must be:

    • Documented

    • Mutually agreed in writing

6. Pricing & Payment

Invoicing:

  • Party A may raise invoices on a daily or weekly basis

Payment Terms:

  • Payment must be made within 4 calendar days (96 hours) of invoice

Fractional Prepayment:

  • Advance payment may be required before project start

  • Such advance payments are non-refundable

7. Expenses

  • Party B agrees to prepay approved expenses, including:

    • Tools / licenses

    • Travel

    • Training

    • Other agreed costs

8. Payment Disputes

  • Disputes must be raised before invoice due date

  • Failure to do so will be treated as acceptance of invoice

  • Legal enforcement costs (if applicable) may be borne by Party B

9. Confidentiality

Confidential Information includes:

  • Products, designs, software

  • Development methods

  • Business and operational data

Obligations:

  • No disclosure without prior written consent

  • No unauthorized usage for personal or third-party benefit

10. Term & Termination

Agreement Duration:

  • Effective from start date until termination

Termination Notice:

  • Either party may terminate with 1 week written/email notice

Additional Termination Conditions:

Completion of Active Work:

  • Ongoing SOW may continue if payments are up to date

Termination by Party A:

  • May suspend or terminate work for:

    • Non-payment

    • Operational reasons

Effect of Termination:

  • All pending payments must be cleared

  • Expenses incurred must be settled

11. Project Duration & Renewal

  • Project duration:

    • Until SOW completion OR

    • Maximum 6-12 months
       

  • Requires mutual agreement

  • Must be confirmed 1 month prior to contract end

  • New agreement required for renewal

Transition:

  • In case of non-renewal:

    • Knowledge transfer will be provided (as agreed)

12. Work Model

  • Remote-first engagement

  • Flexible work hours (subject to mutual agreement)

  • Limited capacity model may impact response times

13. Service Disclaimer

  • Services aim for high quality delivery

  • Issue resolution will be attempted where feasible

  • Fixes cannot be guaranteed in all cases

14. Notices

15. Resource Model

  • Engagement implies acceptance of these terms

18. Communication Governance

  • All key decisions must be routed through:

    • Authorized representatives

  • Includes:

    • Scope

19. Miscellaneous

  • This Agreement + SOW = complete agreement

  • Supersedes all prior agreements
